terms of service To be an authorized affiliate of www.THSALE.com, you agree to abide by the terms and conditions contained in this agreement. THSALE Affiliate Program Terms & Conditions 1. Terms of the Agreement By completing the signup application, Affiliate acknowledges that he/she has read, understood, and agreed with THSALE Affiliate Program’s terms and conditions. To become an authorized affiliate of www.THSALE.com, affiliate agrees to abide by the terms and conditions contained in this Agreement. The terms of this Agreement will begin upon THSALE’s acceptance of affiliate’s application and will end when terminated by either party. Either affiliate or THSALE may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Affiliate is only eligible to earn referral fees on sales occurring during the term. 2. Joining the Program To begin the enrollment process, Affiliate will submit an application via THSALE Affiliate Program webpage. THSALE will evaluate Affiliate’s application and will notify Affiliate of Affiliate’s acceptance or rejection. THSALE may reject Affiliate’s application if THSALE determines that Affiliate’s site is unsuitable for the Affiliate Program. Reasons for rejection can include, but are not limited to, the Affiliate’s site promoting violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, or the Affiliate’s site promoting illegal activities and/or violating intellectual property rights. Affiliate’s participation in the program is solely for the purposes of 1) providing sales for THSALE.com website in a legal manner and 2) receiving monthly commission on products and/or services purchased through the advertisement referrals from Affiliate’s website. 3. Payment A.Commission Distribution: The commission is calculated as a percentage of the total amount of sales revenue that was generated from affiliate’s referrals. The commission does not include any applied tax. Such commission is considered conditionally earned 30 days after acceptable payment in full has been received for the order and no refunds or charge back have been issued on the order. Payment for conditionally earned commission will be calculated on the last day of each month and will be paid within the first 7 days of the following month. The commission distributions are stated as following: 11% commission for sales of $0 - $8,000. 12% commission for sales of $8,001 - $24,000. 13% commission for sales of $24,001 - $50,000. 14% commission for sales of $50,001 - $100,000. 15% commission for sales of 100,001+. B.Eligible Payments: All orders that are placed as a result of referral from affiliate’s links or web sites and for which acceptable payment has been received in full are eligible for consideration to receive a commission. The earned commission is conditional because it is subject to the following conditions: a. If the payment for a specific order is partially or fully refunded or charged back before the commission was paid to the affiliate, the earned commission on that specific order will be deducted to zero (0). b. If the payment for a specific order is partially or fully refunded or charged back after the commission was paid to the affiliate, the commission amount of the specific order will be deducted from the subsequent commission payment. c. There is no time limit for the deduction of conditionally earned commission, which means as long as a refund or charge back is issued on any specific order, the commission for the specific order will be deducted according to condition a and/or b above. d. THSALE reserves the right to refuse to pay any commission to affiliate for any order that was generated through search engine search results that relate to THSALE’s domain name or keywords. e. THSALE reserves the rights to refuse to pay any commission to affiliate for any order that was not referred from affiliate’s website itself. f. THSALE reserves the rights to refuse to pay any commission to affiliate for any order that was generated by any mean of unethical methodology, such methods include, but not limited to hacking, spamming, Trojans data intercepting, Spywares, and etc. C. Affiliate Payments - Payment to affiliate will not be rendered for commission amounts less than $200.00 USD. The commission balance will be carried forward to be paid in a subsequent month. D. Store credit can be issued upon request in lieu of payment to affiliate. 3. Revocation of Affiliate Status Affiliate’s application and status in the program may be suspended or terminated for any of the following reasons: A. Inappropriate advertisements (false claims, misleading links) B. Spamming (mass email, mass newsgroup posting, etc...) C. Advertising on sites containing/promoting illegal activities 4. Affiliate Links THSALE will provide affiliate with textual and graphical links (link material) with which affiliate may link his/her web site to THSALE’s. These link materials are available in affiliate’s login panel. Affiliate agrees to display the link materials appropriately on his/her website and in advertisements, and to respect THSALE’s trademarks, service marks, and other rights in the link materials. Affiliate will use only these link materials to link to THSALE.com, and he/she will not alter the look or feel of these link materials or of THSALE’s web site in any way. Affiliate will use reasonable efforts to update to new versions of link materials as THSALE make them available. The site may also be advertised offline in classified ads, magazines, and newspapers. Affiliate may only use the graphics and texts that are provided by THSALE. 5. Tracking THSALE will be solely responsible for tracking sales using special software that communicates with the specially encoded URLs assigned to affiliates. THSALE will endeavor to do its best to ensure accurate tracking of referrals made by affiliates. Affiliates will themselves be solely responsible for ensuring that these special URLs are formatted properly, a necessary prerequisite to accurate tracking of referral sales. Notwithstanding the above statement of responsibility by THSALE, affiliates hereby acknowledge and accept that the tracking system employed by THSALE is not 100% fail-sale and/or error free and that there may on occasion be instances of referral sales made that are not credited to an affiliate for any of the following possible reasons: A.Failure by the affiliate to use the proper format of the specially assigned URL in promotions, webpage links, banner ads, and so on Deliberate or accidental action by customers to circumvent an affiliate’s special URL so that THSALE’s software is unable to accurately track that sale. B.Bugs, glitches or crashes of the tracking software that render it unable to accurately track sales for period of time. C.Acts of nature that cause irretrievable data loss on the computers and back-up media. When a web user clicks through an affiliate’s link, a cookie that contains the affiliate’s ID will be triggered in the user’s browser. The user’s IP will also be tracked in the database along with the affiliate’s ID. When the user places an order within 2 hours after the click-through, the cookie and his/her IP address will be used to determine the affiliate’s ID and commission. Orders placed by the web user outside of the 2 hour window will not be eligible for commission. 6. Modification THSALE may modify any of the terms and conditions contained in this Agreement, at any time and in THSALE’s sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and program rules. IF ANY MODIFICATION IS UNACEPTABLE TO THE AFFILIATE, AFFILIATE’S ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. AFFILIATE’S CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING THSALE’S POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON THSALE’S SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. 7. Liability THSALE will not be liable for indirect or accidental damages (loss of revenue, commissions) due to tracking failures, loss of database files, and any results of intents of harm to the program or website. THSALE does not make any expressed or implied warranties with respect to the Affiliate program and/or products sold on THSALE.com website. THSALE make no claim that the operation of the Affiliate program and THSALE.com website will be error-free and THSALE will not be liable for any interruptions or errors. The Affiliate further agrees and warrants that he/she will comply with all local, state and federal laws (including, but not limited to, the CAN-SPAM Act, effective January 1, 2004) regarding the sending of e-mails. Affiliate shall indemnify and hold THSALE harmless from any and all legal actions, damages or liabilities incurred from the day-to-day operations of the Affiliate. Under no circumstances will THSALE be liable whether in tort, contract or otherwise for indirect, incidental, consequential, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss) arising from or relating to any provision of this Agreement or the affiliate program. Without limiting the foregoing, THSALE’s aggregate liability arising with respect to this Agreement will not exceed the total fees paid or payable to the Affiliate under this agreement. THSALE will own all right, title and interest in and to all information that is created or collected in the operation of THSALE.com website and reserves the right to amend or terminate this Agreement at any time, with or without notice to the affiliate. 8. Relationship of Parties THSALE and affiliate’s company are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliate will have no authority to make or accept any offers or representations on THSALE’s behalf. Affiliate will not make any statement, whether on affiliate’s site or otherwise, that reasonably would contradict anything in this agreement. By filling out the signup form you acknowledge that you have read the terms and conditions above for THSALE AFFILIATE Program, understand, and agree with them. I agree with the terms of service
